BY ACCEPTING THE PURCHASE ORDER “PO” OR PURCHASE REQUISITION “PR”, SUPPLIERS ARE REQUIRED TO COMPLY TO ALL TERMS AND CONDITIONS DEEMED APPLICABLE AS STATED BELOW:

TERMS & CONDITIONS FOR ALL SUPPLIERS
The Purchaser reserves the right to cancel or suspend the PO or any part thereof if the Supplier repeatedly furnishes product(s) which fail to meet any of standards, drawing specifications, approved samples or are defective in workmanship or material or are not otherwise satisfactory to the Purchaser.
All goods must be suitably packed. No charges are to be made for wrapping, packing or crating unless specified in the PO.
Please quote GUOXIN Purchase Order (“PO”) number or Purchase Requisition (“PR”) number on your invoice and delivery order.
Articles defined in the Purchase Order / Purchase Requisition are subject to inspection at destination and will not be accepted by GUOXIN if the supplier fails to submit the certification, documentation, test data, and/or reports specified in the purchase order. Notwithstanding the inspection rights granted to Purchaser, representatives of Purchaser, Purchaser’s customer, and regulatory authorities, if required, shall be granted the right of access to all the Seller’s facilities, including sub-tier suppliers, at reasonable times for the purposes of reviewing applicable records to the Purchase Order.
TERMS & CONDITIONS FOR SUPPLIERS (OUTSOURCE PROCESS)
RECORDS: The Supplier shall maintain records for review by GUOXIN or Customer/Regulatory Agency for a minimum of seven (7) years or the duration of the contract, whichever is longer. Records include material certification, special processing, work order/traveller, test reports, inspection reports and other relevant records, nonconforming records, drawings and revision history, calibration records, first articles and any other applicable records. If required by purchase order, electronic media for NC programs, test programs or drawings may be required for archive purposes at the direction of the GUOXIN buyer.
NONCONFORMING MATERIAL: Non-conformances detected during manufacturing or during supplier’s inspections shall be disposition using one of the following methods:
REWORK: Discrepant material can be reworked to full conformance with all drawing specifications. Reworked items must be resubmitted to normal supplier inspection and/or test operations.
SCRAP: Discrepant material unfit for use shall be scrapped in accordance with the supplier’s scrap procedures.
SUBMIT FOR GUOXIN PRELIMINARY REVIEW: GUOXIN preliminary review action is required for any discrepant material that cannot be reworked to print, but either is functional or could be made functional via a repair. Such material shall be segregated and controlled to ensure that no further work is performed until a GUOXIN preliminary review disposition is obtained. If approved, a copy of the completed form must accompany each shipment of related parts.
FUNCTIONAL TEST/INSPECTION REPORTS: Actual inspection/test reports must be attached to the packing sheet for each shipment. These reports must reference the purchase order number, supplier’s name and address, part number, part name and, where applicable, serial numbers, and date and run time of units, including actual results. These reports must be validated by an authorized supplier representative. If equipment of sufficient capacity to inspect/test the articles is not available on-site, the items must be inspected/tested in a laboratory approved by relevant Authority. In addition the supplier must reference the PO and part number on their certification.
FIRST ARTICLE REPORT: A detailed first article inspection report is required. The report must list all drawing characteristics, plus notes, and must include evidence of conformance to all elements, including material and processes. Each drawing characteristic must be completed with the tolerance in an adjoining column. The measured condition must be recorded. The report must indicate the GUOXIN part number, revision, and PO number. GUOXIN reserves the right to witness the actual inspection or to require spot checks to verify the data. The first article report and the part used should be packaged separately, clearly identified, and shipped with the production parts on the first delivery of a new lot. If subsequent shipments are from the same lot as a previous shipment a copy of that first article report is acceptable.
CHANGES: GUOXIN must be notified in writing prior to any proposed changes to controlled design, parts, materials, fabrication methods, or processes that may affect function, interchangeability, or reliability. Facility location and/or ownership changes must also be reported to GUOXIN in a timely manner.
